Ask HN: How to evaluate our acquisition proposal?

We recently have got an acquisition proposal, and have been asked to give our valuation. Though we are profitable, the revenues are sub $1m, the proposers are clear that they are looking for a tech acquisition and agree that a revenue multiple bid would not apply.

The space has seen good amount of acquisitions with deal sizes ranging from $30M to $200M.

How should we handle this in a professional and logical way? Any idea would be appreciated.
